Homestake Completes Payment of Loan Agreement

VANCOUVER, BRITISH COLUMBIA–(Marketwired – July 20, 2016) – Homestake Resource Corporation (“Homestake” or the “Company”) (TSX VENTURE:HSR)(FRANKFURT:B6IH) has issued and delivered 1.5 million common shares to Auryn Resources Ltd. (“Auryn”) to satisfy a debt of $150,000 advanced pursuant to a loan agreement dated May 10, 2016 and which agreement contained a conversion feature respecting the issuance of common shares of Homestake at $.10 per common share. (see news releases dated June 14, 2016 and July 18, 2016).

The share certificate representing the common shares contains the following requirement:

UNLESS PERMITTED UNDER SECURITIES LEGISLATION, THE HOLDER OF THIS SECURITY MUST NOT TRADE THE SECURITY BEFORE NOVEMBER 20, 2016. WITHOUT PRIOR WRITTEN APPROVAL OF TSX VENTURE EXCHANGE AND COMPLIANCE WITH ALL APPLICABLE SECURITIES LEGISLATION, THE SECURITIES REPRESENTED BY THIS CERTIFICATE MAY NOT BE SOLD, TRANSFERRED, HYPOTHECATED OR OTHERWISE TRADED ON OR THROUGH THE FACILITIES OF TSX VENTURE EXCHANGE OR OTHERWISE IN CANADA OR TO OR FOR THE BENEFIT OF A CANADIAN RESIDENT UNTIL NOVEMBER 20, 2016.
