Description

The opportunity. Acquisition of a 24-32% participatory interest in the parent company of a gold subsoil user in the Republic of Kazakhstan, combined with an investment programme of about USD 27 million. The programme is structured separately and is not included in the stake price. A state-owned company holds 25% of the subsoil user; annual financial statements are audited by an independent auditor under IFRS. Asset and tenure. Valid exploration contract for gold-bearing ores held since 2017, southern Republic of Kazakhstan. Tenure continuity is secured: in 2026-2027 the right converts into an exploration licence under the Subsoil Code, extending the exploration horizon by up to five further years - through 2032. Current geological allotment - approx. 5 sq km, expanding to about 21 sq km (9 blocks) upon licence conversion. Title documents are in good standing and free of encumbrances. Resource base (KAZRC, 2026). First independent mineral resources and reserves estimate under the KAZRC Code - a full CRIRSCO member, equivalent to JORC / NI 43-101 - prepared by an independent Competent Person (PhD, MAIG, a registered KAZRC Competent Person): a total of about 3.8 t of gold (122 koz) at an average grade of 0.63 g/t. The resources comprise Indicated resources of 0.56 t and Inferred resources of 3.23 t; the Indicated resources support approved Probable reserves of 0.54 t at 0.72 g/t (resources reported inclusive of reserves). The estimate predates the 2026 field programme: 800 m of a 1.5 km trenching programme completed and a further 700 m in progress (July 2026), with a 4.7 km drilling programme under way across the area, scheduled for completion by the end of September 2026. The programme targets both conversion of Inferred resources into reserves and delineation of new mineralised zones; an updated estimate is in preparation. Metallurgy. 87% gold recovery via a combined gravity and cyanidation flowsheet; free-milling ore with liberated gold, no roasting or autoclave required - well suited to a modular low-capex processing plant. Infrastructure. Phase 2 - plant expansion to 500 ktpa, about USD 15 million, funded by the investor. Financial highlights. NPV (10%) about USD 58 million, IRR about 72% at a gold price of USD 4500/oz; the full financial model is available in the data room after NDA. Process and timeline.
